Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website platform and related services provided by Simo Made ("Company", "we", "our", or "us").
By subscribing to or using our services, you ("Client", "you", or "your") agree to be bound by these Terms.
1. Service Overview
The Company provides a subscription-based managed website and lead automation platform designed for local service businesses.
The service may include:
- A professionally designed website
- Lead capture forms
- Automated enquiry notifications
- Automated customer messaging and review requests
- Website hosting and infrastructure management
- Minor website updates and maintenance
The platform is provided as an ongoing subscription service and is not a one-time website purchase.
Access to the platform is granted under license while an active subscription is maintained.
2. Ownership and Intellectual Property
All technology, infrastructure, code, automation workflows, and systems used to operate the service remain the exclusive property of the Company.
This includes but is not limited to:
- Website code and design framework
- Automation workflows and scripts
- Integration systems
- Hosting infrastructure
- Lead handling systems
Clients are granted a limited, non-transferable license to use the service while their subscription remains active.
Clients retain ownership of:
- their domain name
- their customer data
- their CRM records (including data stored in their Airtable account)
Nothing in these Terms transfers ownership of the Company’s technology or systems to the Client.
3. Subscription and Billing
The service is billed as a recurring subscription.
Current pricing is: £197 per month
Payments are processed via Stripe.
Subscriptions renew automatically each billing cycle unless cancelled in accordance with these Terms.
4. Payment Terms
Payments must be made on time according to the billing cycle.
If a payment fails:
- The Company will attempt to retry the payment.
- If payment remains unpaid after 7 days, the service may be suspended.
- If payment remains unpaid after 14 days, the service may be terminated.
Suspension may include disabling website enquiry forms, lead notifications, and automated messaging. Termination may include removal of the website from hosting and disabling of automation systems.
5. Cancellation Policy
Clients may cancel their subscription by providing 30 days written notice.
Cancellation requests must be submitted before the next billing cycle to avoid renewal charges.
During the notice period the service will remain active until the subscription ends.
6. Website Buyout Option
Clients who cancel their subscription may request to purchase the website design only during the 30-day cancellation notice period for a fee of £440.
Upon payment, the Company will provide a downloadable export of the website design files (HTML/CSS/JS, images, etc.). This does not include automation systems, SMS workflows, hosting, or internal software systems.
7. Scope of Included Updates
The subscription includes minor website updates such as text edits, image replacements, and contact info updates.
New pages, full redesigns, or new automation features are not included and may require separate pricing.
8. Service Availability
While the Company aims to provide reliable service, continuous availability cannot be guaranteed due to reliance on third-party providers.
9. Lead Delivery and Business Results
The Company does not guarantee lead volume, customer enquiries, or business revenue. Customer behaviour and response times are the sole responsibility of the Client.
10. Client Responsibilities
Clients are responsible for responding to enquiries, delivering services, and ensuring business activities comply with laws.
11. Messaging and Communication Compliance
The Client is responsible for ensuring all automated communications (including SMS) comply with messaging regulations and data protection laws.
12. Third-Party Services
The Company is not responsible for disruptions or policy changes imposed by third-party providers.
13. Acceptable Use
Clients may not use the service for unlawful activity, spam, or practices that damage the Company’s reputation.
14. Limitation of Liability
Total liability shall not exceed the total subscription fees paid by the Client in the three months preceding the claim.
15. Payment Disputes and Chargebacks
Clients agree to contact the Company directly to resolve billing disputes before initiating a chargeback.
16. Intellectual Property Protection
Clients agree not to copy the platform, reverse engineer systems, or replicate the service architecture.
23. Governing Law
These Terms shall be governed by the laws of England and Wales.
24. Changes to These Terms
The Company may update these Terms periodically. Continued use constitutes acceptance of revised Terms.
